The Chamber of Lagos approved, at its most recent meeting, the proposal to merge the municipal business entities Futurlagos and Lagos em Forma, thus complying with the law establishing the legal regime for local business activity and local holdings – Law no. /50, of August 2012
According to the criteria of the law that establishes the legal regime for local business activity, municipal companies must be viable, and municipal transfers are limited.
The autarchy reveals that «after a careful analysis of municipal services, and based on this legal diploma, the technical opinion is that Lagos em Forma is viable to continue, while Futurlagos, with the skills that it currently has its position, no'.
For this reason, a proposal for the merger of the two was studied and presented, with a return to the direct management of the City Council of some functions currently handed over to Futurlagos, by contract-program.
The merger operation ("merger by incorporation") will be carried out through the global transfer of the assets of the Futurlagos company (incorporated company) to the municipal company Lagos em Forma (incorporating company), assuming as a mission the fulfillment of objectives determined by the Municipality of Lagos , for the management of services of general interest and promotion of local development.
Currently, the incorporated company – Futurlagos – carries out its activity in the development, management and exploration of priority urban development areas; in urban and environmental rehabilitation; in the construction of municipal roads; and in the design, construction, maintenance, management and operation of social and economic facilities, buildings and other collective municipal, cultural and leisure facilities and services of general interest, such as urban transport in Lagos, also having as its corporate purpose the management of the Municipality's public parking service.
Lagos em Forma, an acquiring company, develops its activity in the promotion, management, operation and conservation of sports and leisure equipment belonging to or under its administration in any capacity, being also in charge of the organization of activities and events in the areas of sport and leisure, as well as the provision of maintenance services for sports equipment.
With this merger, the Cãmara de Lagos says it intends to develop the activities in a structured manner, seeking to make the available resources more profitable and the consequent reduction in the aggregate costs of the structure, freeing up more resources for the activities to be developed.
The merger proposal will now be submitted to the Municipal Assembly, and will also be subject to the prior inspection procedure of the Court of Auditors.
Transmission of Futurlagos shareholdings
In accordance with the obligations contained in this legal diploma, also with regard to the shareholdings held by the company Futurlagos, namely in the company EL – Parkings de Lagos, SA, in the amount of 24.500 shares, and in the company Neofutur, SA, in the 49.000 shares must be transferred, through a transmission contract, to the Municipality, free of charge.
Program-contracts to be signed
Also with regard to Law No. 50/2012, of August 31, and taking into account that some functions entrusted to Futurlagos now return to the direct management of the municipality, the drafts of the program contracts relating to the Management of the Urban Transport System of Lagos and the Exploitation of Car Parks, Limited Duration Parking Areas and Conditioned Car Access Areas.
The proposal for a contract program to be signed with the Municipality for the transfer of competences in the area of management of the ARU - Lagos Urban Rehabilitation Area, whose creation was approved by the Municipal Assembly of Lagos, on 24 September 2012, was also approved. this one that indicated Futurlagos as the managing entity of this rehabilitation operation.
All these proposals will now be submitted for approval by the Municipal Assembly.
